Welcome to Floprr.

These Terms & Conditions ("Terms") govern your access to and use of the Floprr website, marketplace and related services.

Floprr is operated by Baycart Ecommerce (OPC) Private Limited ("Floprr", "we", "us", or "our").

By accessing, registering on, posting a listing on, or otherwise using Floprr, you agree to be bound by these Terms.

If you do not agree with these Terms, please do not use Floprr.

1. About Floprr

Floprr is an online marketplace that enables users and businesses to create listings and connect with potential buyers.

Floprr currently provides marketplace functionality for categories including:

• Cars

• Bikes

• Mobile Phones

• Electronics

Additional categories, services and features may be introduced in the future.

2. Marketplace Role

Floprr primarily provides a platform through which buyers and sellers can discover each other and communicate.

Unless expressly stated otherwise:

• Floprr is not the seller of products listed by users.

• Floprr does not own or possess products listed by independent sellers.

• Floprr does not guarantee the quality, authenticity, legality or condition of listed products.

• Floprr does not guarantee that a transaction will be completed.

• Floprr does not act as an agent for buyers or sellers unless expressly agreed.

• Buyers and sellers are responsible for conducting appropriate due diligence before completing a transaction.

3. User Eligibility

You must provide accurate information when creating an account or listing.

You must have the legal capacity required to use the service and enter into transactions under applicable law.

If you are using Floprr on behalf of a business or organisation, you confirm that you have authority to represent that business or organisation.

4. User Accounts

You are responsible for:

• Maintaining the confidentiality of your account credentials

• Providing accurate information

• Keeping your account information up to date

• Preventing unauthorised access to your account

• Activities conducted through your account

You must notify Floprr promptly if you suspect unauthorised use of your account.

5. Posting Listings

When posting a listing, you agree that:

• You have the right to sell or offer the advertised item.

• The information provided is accurate and not misleading.

• The images accurately represent the item.

• The stated price is accurate.

• The item complies with applicable laws.

• The listing belongs in the selected category.

• You will update or remove the listing when the item is no longer available.

• You will not create duplicate, misleading or fraudulent listings.

You must not use listings to advertise products or services prohibited under our Prohibited Items / Community Guidelines.

6. Seller Responsibilities

Sellers are responsible for:

• The legality of their products and transactions

• The accuracy of listing information

• Product ownership and authenticity

• Pricing and availability

• Communication with buyers

• Delivery or handover arrangements

• Applicable taxes, licences and regulatory requirements

• Complying with applicable consumer protection laws

Where a seller is a business, the seller is responsible for providing legally required business and product information.

7. Buyer Responsibilities

Buyers should independently verify:

• Seller identity

• Product condition

• Product ownership

• Authenticity

• Documentation

• Price

• Availability

• Applicable warranties

• Registration and transfer requirements

• Any other relevant information

Users should avoid transferring money until they are satisfied with the legitimacy of the transaction.

8. Transactions Between Users

Unless Floprr expressly provides a transaction or payment service, transactions are directly between buyers and sellers.

Floprr is generally not a party to the transaction.

Buyers and sellers are responsible for agreeing on:

• Price

• Payment method

• Delivery or collection

• Inspection

• Warranty

• Returns

• Refunds

• Ownership transfer

• Other transaction terms

9. Fees and Paid Services

Floprr may introduce paid services such as:

• Featured listings

• Promoted listings

• Premium visibility

• Business seller services

• Advertising

• Other marketplace services

Where paid services are introduced, applicable fees, payment terms and refund conditions will be communicated before purchase.

10. Prohibited Conduct

You must not:

• Post fraudulent listings

• Misrepresent products

• Sell stolen or counterfeit goods

• Use another person's identity

• Create multiple accounts for abusive purposes

• Manipulate prices or listings

• Post duplicate advertisements

• Spam users

• Scrape or systematically extract website data without permission

• Circumvent platform security

• Attempt to gain unauthorised access

• Upload malware or malicious code

• Harass or threaten other users

• Use Floprr for unlawful purposes

• Manipulate reviews or ratings

• Publish misleading advertisements

• Use Floprr to facilitate illegal transactions

11. Content and Intellectual Property

Users retain ownership of content they submit, subject to the rights necessary for Floprr to operate the marketplace.

By submitting listing content, including photographs, descriptions and other materials, you grant Floprr a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, format, distribute and promote that content as reasonably necessary to operate and market the Floprr service.

You represent that you have the necessary rights to submit the content.

Floprr's name, logo, website design, software, trademarks, graphics and other proprietary materials remain the property of Floprr or its licensors.

12. Listing Moderation

Floprr may review, moderate, restrict, remove or disable listings or accounts where we reasonably believe they:

• Violate these Terms

• Violate applicable law

• Are fraudulent

• Are misleading

• Create security or safety risks

• Contain prohibited products

• Damage the integrity of the marketplace

• Generate spam or abuse

• Otherwise violate our policies

We may take action without prior notice where necessary to protect users, the platform or comply with legal requirements.

13. Reporting

Users may report listings or accounts that they believe violate these Terms or our Community Guidelines.

We may investigate reports and take appropriate action.

Submitting a report does not guarantee removal of a listing or account.

14. Availability of the Service

We aim to maintain reliable access to Floprr but do not guarantee that the website will always be:

• Available

• Error-free

• Secure

• Uninterrupted

• Free from defects

We may suspend or modify services for maintenance, security, technical or business reasons.

15. Third-Party Services

Floprr may use or link to third-party services.

Third-party services may have their own terms and privacy policies.

Floprr is not responsible for third-party services outside our control.

16. Disclaimer

To the maximum extent permitted by applicable law, Floprr does not warrant that:

• Listings are accurate or genuine

• Sellers are trustworthy

• Products are authentic

• Products are safe

• Products are legally owned by sellers

• Products will match descriptions

• Buyers or sellers will complete transactions

Users are responsible for exercising appropriate caution and due diligence.

Nothing in these Terms is intended to exclude rights or remedies that cannot legally be excluded under applicable law.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Floprr and Baycart Ecommerce (OPC) Private Limited shall not be liable for losses arising from transactions or interactions between users, including fraud, misrepresentation, defective products, non-delivery, payment disputes or other conduct of buyers or sellers, except to the extent liability cannot lawfully be excluded.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

18. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Floprr, Baycart Ecommerce (OPC) Private Limited, and their directors, employees and service providers from claims, losses, liabilities, damages and expenses arising from:

• Your violation of these Terms

• Your listings

• Your unlawful conduct

• Your infringement of another person's rights

• Your transactions with other users

• Your misuse of the platform

19. Account Suspension and Termination

Floprr may suspend, restrict or terminate an account if we reasonably believe that the account:

• Violates these Terms

• Is involved in fraud or abuse

• Creates a security risk

• Posts prohibited content

• Misuses the platform

• Violates applicable law

You may stop using Floprr at any time.

Certain provisions of these Terms may continue after termination where their nature requires continued application.

20. Changes to these Terms

We may update these Terms from time to time.

Updated Terms will be published on the website with a revised effective date.

Continued use of Floprr after an update may constitute acceptance of the revised Terms to the extent permitted by law.

21. Governing Law

These Terms shall be governed by the laws applicable in India.

Subject to applicable law, disputes relating to these Terms or use of Floprr shall be subject to the jurisdiction of the appropriate courts and authorities in India.
